Law 794: Problems of Corporate Law

This course is intended to provide deeper coverage of the policy considerations and of special topics covered more lightly in other business courses. There will be assigned readings, plus lists of recommended readings related to specific topic areas. The grade will be based mainly on a paper that is a policy analysis of an issue in one of the course’s topic areas. The paper must demonstrate an understanding of the law relating to the topic, the readings suggested for the specific topic and the general policy considerations discussed in the assignments and classes. Topic areas include: Introduction to corporate law, governance and finance; limited liability; state competition; corporate governance; the corporation and society; managerial incentives and fiduciary duties; securities disclosure regulation; securities fraud liability; insider trading; takeovers; takeover defenses, venture capital and startups; and comparative corporate law.  This class will be conducted in association with the Illinois Program in Law and Business Policy Corporate Colloquium.  Distinguished law and business professors, and perhaps also practicing lawyers and business people, will be visiting the law school to present their ideas to the class and participate in the discussion. Students may use this course to satisfy their upper-level writing requirement.
