This course considers in detail the law that relates to businesses in financial distress, focusing principally on chapter 11 of the Bankruptcy Code. We also will discuss out-of-court workouts. The course will emphasize a practical “lawyering,” problem-solving approach, emphasizing the financial deal-making that characterizes business reorganization law. Students interested in bankruptcy or business law generally will find the course useful. Coursework will consist principally of written assignments, including role-playing problems with students playing the roles of attorneys.
